1. Introduction

Please read these Terms and Conditions carefully before using any of the services and functionalities provided through us - irrespective whether self-standing through our website (https://www.electryone.ai/) and/or any app available through the AppStore or GooglePlay (together, the “Service”) operated by Electryone AI Limited (“Electryone”, “we”, “us”, or "our") and/or operated by any of our Partners with which we have established a business relationship (“Partners”), to you or the user and recipient of the Service (“you” or “your”).


Access to and use of the Service is conditional upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.


By accessing or using the Service you agree to be bound by these Terms. If you do not accept any part of the terms then you are not authorized to use the Service.


2. Our Service

Our Service is intended to access and control the flexibility of energy assets, such as batteries, EVs, EV chargers, smart meters, and heat pumps. In doing so, we manage the electricity demand and supply across these assets to (a) shift it to the greenest and cheapest periods, (b) export energy during expensive periods and (c) help the electricity network during periods of constraint on the grid.


3. Use of Service with third-party hardware

Our Service may make use of third-party hardware assets like (but not limited) batteries, inverters, cars, chargers, heat pumps, thermostats, or smart meters to deliver our Service to you, without notice to you. These integrations are provided as is, and may be limited in functionality, depending on the specification and type (and brand) of the hardware asset. Provided that we have selected such third party with appropriate care, we are not responsible for, and will not be held liable for, any damage or loss to the acts or omissions of its vendors, third-party outsourcers, or service providers.


4. Consent to access your energy assets

By agreeing to these Terms and Conditions, you consent to allow us and our Partners to access your battery, inverter, electric vehicle, charge point, heating unit, smart meter, and/or any other connected asset as required to deliver our Service. Providing us with access enables us to read information from your devices, and send commands to your devices, to enable us to deliver our smart charging Service to you.


This may include, but is not limited to, reading the current state of the asset (e.g. obtaining information on energy consumption, whether it is charging, discharging, connected, disconnected, a device’s current state of charge, current temperature, and requested temperature), and also sending commands to control and regulate devices (e.g. start and stop charging, start and stop discharging and controlling the flow of energy through a device). Further information accessed and used might include the car’s odometer, encrypted location and further information on the state of the car. There is no obligation on the customer to provide access to an asset, but access to an asset, including a smart meter, may be necessary in order for us to deliver our Service. Our access to an asset can be revoked at any time by contacting us. Data and information on your asset will be processed as outlined by our privacy policy.


5. Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.


You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.


You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.


6. Links to other websites

Our Service may contain links to third party websites or services that are not owned or controlled by us.


We have no control over, and assume no responsibility for the content, privacy policies, or practices of any third party websites or services. We do not warrant the offerings of any of these entities/individuals or their websites, including without limit: products, goods, services and further links.


You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.


We strongly advise you to read the terms and conditions and privacy policies of any third party websites or services that you visit.


7. Incentives and rewards

Periodically Electryone offers customers rewards or incentives through our Service. These offers may be subject to their own terms and conditions. However, it is important to note that generally, such rewards and incentives are not guaranteed and Electryone reserves the right to change the terms, or remove the offer without any prior notice.


8. Termination

If you wish to terminate your account, you may simply discontinue using the Service. If you wish to terminate your account and destroy all data we hold associated with your account, please contact us. We reserve the right to terminate, deactivate and/or suspend any account (or part thereof) you may have with us or use of the Service and remove and discard all or part of your account and/or discontinue, modify or alter any aspect, feature or policy of the Service, with our sole discretion. All provisions of the Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.


9. Indemnification

You agree to defend, indemnify and hold harmless Electryone and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.


10. Limitation of liability

In no event shall Electryone, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose (v) any indirect damages caused by a failure of our Service (for whatever reason) to deliver the Service, for example, including failure to deliver the required level charge to your electric vehicle by the specified charge time.


11. Use of Service 

By agreeing to use this Service, you agree that you will not attempt to obtain unauthorized access, violate any applicable laws in use of Service/information contained therein, and not to collect or store any personal information derived from the Service, whether for legitimate or illegitimate purposes.


This Service may include participation in a programme run by the ESO (Electricity System Operator), TSO (Transmission System Operator), DNO (Distribution Network Operator), and/or other parties responsible for electricity system operations. By agreeing to use this Service, you agree to any programme-specific requirements outlined in any programme-specific signup process, and you agree to not participate in the same programme (e.g., the ESO’s Demand Flexibility Service) with an equivalent provider. If you sign up with us and are already registered with another provider, you may no longer be eligible to participate with that provider.


By agreeing to these Terms and Conditions, you agree to us contacting you to learn more about your experiences and collect your feedback including any suggestions, enhancement requests and recommendations regarding the Service.


12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance Electryone its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.


13. Intellectual Property Rights

We retain all rights, title and interest in and to all patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how and any other intellectual property and/or proprietary rights (collectively, “Intellectual Property Rights”) in the Service.


The limited rights granted to you to access and use the Service do not convey any additional rights in the Service, or in or to any Intellectual Property Rights associated with them. All hardware, software and other components of or used to provide the Service, including all related Intellectual Property Rights, will remain with and belong exclusively to us and our affiliates.


14. Data Protection

We take privacy and personal information seriously. We process your personal data in accordance with our Privacy Policy and Cookie Policy (together, ‘Policies’).


15. Variation

These Terms and Conditions and any of our Policies may be varied by us from time to time. Any revisions to our Terms and Conditions or Policies will be made available on our website and will apply to the Service from the date of publication. Any use by you of our Service following the publication of revised General Terms or Policies will constitute acceptance of such changes.


16. General

If either we or you have any right to enforce these Terms against the other, that right will not be lost even if the person who has the right delays enforcing it, or waives their right to enforce it in any instance. If a court or other authority decides that any part of these Terms is illegal or ineffective, the rest of the terms will be unaffected and will remain in force.


You may not transfer any of your rights under these General Terms to any other person. We may transfer our rights under these General Terms where we reasonably believe your rights will not be affected.


These General Terms, together with the Policies and any service agreement signed between us, contain the whole agreement between us and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the Service. No course of conduct, failure or delay shall affect the validity, binding effect or enforceability of these General Terms or be considered an implied waiver.


The General Terms are between you and us. No other person has any rights to enforce any of its terms. Each paragraph of these General Terms operates separately. If any court or relevant authority decides that any of them is unlawful or unenforceable, the remaining paragraphs will remain in full force and effect. These General Terms are governed by the English law and you can bring legal proceedings in relation to our Service in the English courts.
